Provide an alternative and innovative service for Internet and non-internet users to advertise their yard sales to the public via the World Wide Web.

Statement of Purpose

Yardsales.com seeks to start as a partnership by having each partner contribute to equal a total of $21,000. Our business will be to provide Internet advertising for yard sales. The monies will be used to purchase technical equipment, maintain the Internet web site, advertisement and provide a cash flow capital for running a part-time business. Our long-term goal is to expand our business to other cities and eventually to other states. This would provide us the ability to branch out from a part-time to a full-time business. As we take on additional responsibility, we will re-evaluate the need to incorporate.

Partnership Agreement

We the undersigned hereby set up a general partnership and agree the company to have the following partnership agreement:

Company Name and Domicile

The name of the business will be Yardsales.com with the business being managed in the City of Phoenix, Arizona in what is called a virtual office of each of the partners.

Branch of Business

The company’s branch of business is using the Internet to provide an alternative means of advertising yard sales using the World Wide Web.

Management & Decision Making

The partnership is managed together by all existing partners. All issues not separately mentioned in this agreement are to be resolved by the partners as defined in the Human Resource Plan.

All of the partners have authorization to write the company name.

Allotment of Profit

The profit from the partnership will be shared between the partners in proportion to their contributions to the equity capital.

Covering of Losses

In the case of losses, all partners shall pay for the losses in accordance to the proportion to their contributions and profits through their equity capital. These losses shall be paid within three (3) months from signing the closing of the balance statement. If a partner has already during the fiscal year paid for the company’s debt or some other liability using his/her own property, this sum will be taken into account when determining the share with which he/she is to take part in for the covering of losses.

Termination of the Agreement

All partners have the right to cancel this agreement as a result of which the agreement shall terminate three (3) months after the witnessed moment of cancellation unless other partners do not consent to terminating the operations prior to the end of the said period of notice.

At the termination of the partnership, the remaining assets after the debts have been paid shall be distributed to the partners in proportion to their contribution to the equity capital.

In the event of one or more partners leaving, to enable the partnership’s name and assets to remain, no partner shall have the right to sell their portion of the company to anyone outside of this partnership without first offering it to the other partners at a fair market value. In the event that the partnership incorporates, then he/she must make sure that the company retains at least fifty-one percent (51%) of all available stocks.

Termination of the Agreement

In the unforeseen event in a death of a partner, the partnership shall distribute the to the heir of the deceased, their share of assets and earning in accordance with the equity capital within one (1) month. After said time, each of the remaining partners must unanimously determine to continue with this agreement and reorganize accordingly.

A partner will not be permitted to appoint a replacement by will or trustee. That partner, if they so choose, can terminate their end of the agreement leaving the remaining partners to decide to continue the agreement.

Yardsales.com is a web site in which people who are advertising yard sales can draw more customers from a larger area. It also serves as a place where shoppers can easily search for yard sales by location, date, items being sold, and by viewing pictures.

Positioning of Products/Services

The target market consists of people having yard, garage and estate sales. This is where our primary revenue will come from. We will also target shoppers who are looking for yard sales to visit (though we will make no money from this section of the market).

What we will offer is an inexpensive, simple way to advertise yard sales, and an easy way for shoppers to find yard sales by location, date, items, or pictures. People who advertise with us will be able to draw people from World Wide Web and not just the metro area. We offer more advertising space, and a longer run time for a significantly lower price. It is also considerably easier for shoppers to browse, since we only deal with yard sales.

As we grow larger, we plan to expand our advertising area to include other cities within the state, including Prescott, Tucson, Flagstaff and Kingman, eventually spanning the entire state of Arizona. As we expand, we will broaden our advertising to include other cities’ newspapers, magazines, web sites, and television stations. The larger we grow, the more we will modify the search engine to accommodate a larger area. As we become well known, we will be able to increase our advertising packages, and therefore be able to reduce the cost of space and increase our profit margin.

In The Beginning

The yard sale business has been going on for decades. It has influenced other businesses such as swap meets and consignment stores. Since the first yard sale, the market has stayed relatively the same. People would tell friends and neighbors, place an ad in the local journal, or set up posters and flyers to advertise their sale. Even today as you drive up and down the streets on any given Friday, Saturday, or Sunday you will find boxes and signs pointing to a yard sale.

Up until now, people could only say, “ Hey, we are having a yard sale here at this time and place” and nothing more without losing a fortune on advertising. The other limit is that most yard sales are put together at the last moment. Most newspapers miss valuable business because of printing restraints. If a person called up to place an ad after the printing had already started, they lost out on the opportunity to place an ad. We are about to break these boundaries.

Before, you were restricted to so many words and a time limit to place an ad for printing in a newspaper. With the Internet, yard sales now have a larger potential for growth. Right now, the only other online advertisers for yard sales are newspapers. There are no truly dedicated sites for yard sales. Newspaper agencies only offer it as a benefit for placing the ad. Industry Overview

Yardsales.com is a new local online partnership, which will be competing with local newspapers and their web classified advertising. Yardsales.com will be one direct source of finding the location of entire city’s yard sales including address, telephone number, e-mail and pictures of items being sold. Advertisements promoting yard sales are included in every major paper across the country. The vast majorities of firms in this industry have gone on line or have plans to go on-line in the near future.

There are many firms that offer advertising through traditional print and Internet services. However, these firms also offer many other types of classified ads and products. Generally, the advertising of yard sales represents a very small fraction of their business.

Changes in the Industry

The primary change in the advertising of yard sales is the shift of forum from newsprint to on-line media. Most of the major firms that print yard sale ads are including the ads on their Internet sites. The Internet audience is growing daily and if current trends continue as predicted, newsprint will become secondary to on-line advertising.

As Yardsales.com intends to start our business locally, our main competitors will be with the local newspapers. More specifically the Pennysaver and Arizona Republic.

The Pennysaver is a weekly publication with a circulation of 85,000 published both locally and nationally. This paper advertises for many companies and products and is delivered through mass mailings. Their current rate for a yard sale ad is $15.00 for four lines. Currently the Pennysaver does not have a web site.

Our largest competitor in Arizona will be the Arizona Republic. This is the largest newspaper in Arizona and the 12th largest in the United States. The Republic is published daily and currently sold at over 6,300 locations and delivered by more than 2,200 carriers to subscriber’s everyday. The rate for a 4-line yard sale advertisement for 4 days in the Republic is $21. Included in this price is the same ad being posted for the same dates on the Republic’s web site.

Competitive Services

The Arizona Republic and Pennysaver offer basic yard sale ads with four lines of black and white print. Yardsales.com will not only allow advertisers to post this basic information (dates and locations) but allow for lists and photos of available merchandise. Another feature Yardsales.com offers are very specific search engines, so that potential buyers do not have to read and search through ads that are of no interest to them.

Opportunities

While the competition is well established, it does not specifically concentrate on the advertisement of yard sales. As this will be Yardsales.com only focus, we will pursue the market much more aggressively.

By using the far-reaching visual capabilities and low cost of the Internet, coupled with sophisticated search capabilities, Yardsales.com proposes to challenge users old habits and break the lock on yard sale ads traditionally held by newspapers.

There are no Internet based classifieds in Arizona that only advertises yard/garage/estate sales. This is to our advantage. Furthermore, there are no companies that offer classifieds ads with picture space. Competition will be from local newspapers, magazines and other online classifieds. Our main competitor will be from the Arizona Republic since they have such a large customer base.

Our main strength is our cost effectiveness. Because we are small and have a low overhead, we have the ability to offer low prices for our web space advertisements. We strength ourselves even more by having lower prices and more space than printed ads. As you know, our competitors only print their ads and have no way to fix them if they are incorrect. We offer this flexibility.

We have planned for growth nationally. Most newspapers are only concerned about their publication area. By having the possibility of this type of expansion, we increase the threat to their business through size potential.

Finally, we have established ourselves by our name alone. When people think of yard sales, they will direct their computers to our domain. The name says it all.

Weaknesses

Our primary weakness is trust in the Internet community. Although it is slowly turning around through new advances in encryption, many people are still cautious about buying or signing up for anything online. However, this weakness will soon be a strength, with the growing popularity of online auctions (i.e. ebay.com and egghead.com)

Our competition has already established credibility through their publications. They have the tools and systems needed to put us out of business before we can expand.

Lastly, we realize that not all cities have yard sales all the time. Most cities that get snow do not have yard sales until the weather gets better.

As our competitors have done, we have the ability to expand and offer advertisements for other services (i.e. Pets, cars, appliances, furniture, etc.). The only difference being, we would do it bigger and better. We have the ability to show pictures, increased verbiage, and a target audience for items listed. We have the ability to bring people together from all over the world. We even see the possibility of hosting a virtual yard sale.

Our biggest threats are having our competitors eliminate our business by establishing the same type of service, being sued and being bought out by them. The Arizona Republic already has a web site with their classifieds posted. If we are unable to get a jump on them, then our chances of survival are reduced.

We understand the need to protect our own assets. Although we do not anticipate any lawsuits, the possibility exists. After we establish the business, we plan on incorporating to protect ourselves from greater losses. Once incorporated, we will hold 100% of its stocks divided equally according to each shareholders’ investments. As per our partnership agreement, we will retain greater than a 51% market share if we go public.

Yardsales.com’s strategy is to concentrate solely on the yard, garage, and estate sales market. By focusing all of our resources in this one area, we will be able to quickly build, maintain and expand as a leader for online advertising. Responsibilities:

President and CEO: To ensure a profitable return of initial investment through management of partnership’s primary resources and create the necessary plans in meeting our short term and long term goals. At any time, if there is indecision among the other officers it will be up to the President to determine the final course of action. If a majority of other officers disagree with a decision made by the President then they will have the power to overrule his/her decision. Also cosigner for all expenses.

Chief Operations Officer: Primary responsibility is to maintain that our customers get premium internet service by identifying their concerns, resolving their differences and creating new ideas to make the web site more user friendly. In the beginning, we have delegated each responsibility to each officer. As the partnership emerges, we may evaluate the need for other positions to be filled. Some possible positions might include personnel for customer service, administrative assistants, credit card specialists, web designers, and/or accountants. Each department head will be responsible for the selection process of potential candidates. They will create a structured plan of requirements for the hiring and termination of future employees. Our product would be a forum that would allow people having yard sales to be able to promote their location, items being offered and telephone number to those people looking for items generally found at a yard sale. We would categorize yard sales by location and/or items for sale to facilitate the buying process for the end consumer. Virtual Office:

Since www.yardsales.com will be e-commerce, we have decided to create a virtual office providing an alternative work arrangement (A.W.A.) for the officers and possibly future employees. With a start up company, we realize that the highest costs aside from salaries are rent and utilities. By eliminating those two factors, we eliminate most of the cost involved with owning or renting a building.

We plan to allow our officers the flexibility to perform other jobs while still being able to perform their responsibilities from any location. We plan on setting up the servers within the home of the Executive VP of Internet Technologies with access provided for all officers to access and review via email and phone connections. Meetings will be scheduled on weekly basis at any designated location. This, in theory, would be beneficial to the board members by saving them money and time they would otherwise lose driving to and from a separate office. All partners would be able to work from their home or office using A.W.A. through email, telephone calls, and weekly board meetings.

Assumptions and Comments

We realize that the first few months will show large expenditures for equipment and marketing costs, causing our balance sheet to show a negative income. As previously mentioned through our virtual office, our operating costs will be low to allow time for us to grow in size and strength. It is expected that as knowledge of our product increases, income from advertising yard sales will increase equally. The more people we have advertising yard sales the more “hits” our web site will have. By expanding the amount of “hits” the site has, you augment the advertising value for the site and income received by advertising other web sites. Profit then becomes exponential.

We are expecting some loss at the beginning but once market knowledge of our service picks up, there will be tremendous profit. Most of our start up capital will be spent on the costs involved with purchasing computer equipment, Internet services, advertising through various mediums, and any other possible start up costs. In a market where yard sales are generally put together at the last moment, we understand the risk involved with putting this type of web site online. In order to reduce the risk, we have eliminated most of the costs involved with building maintenance and salaries.

We expect to be generating a profitable return after twelve months of service. As previously mentioned, yard sales occur at the last moment. If we can not establish the following principles in our customers’ minds, we will fail.

Research shows that people will not have or go to yard sales if it is either too hot or too cold. Therefore, the graph includes criteria that shows that during the winter we will expect activity from 14% of the country, during the spring and fall we expect 50% activity, and during the summer months 90% activity. Lastly, the information in the graph is based on each state having three major metropolises. It is understood that this is an average of all cities in all states more or less.

As seen from the previous charts, the real possibility of becoming profitable is endless. With that possibility, we need to plan for the disbursement of those profits. Therefore, we have identified five main areas to allocate the funds: Web site and computer maintenance, advertising, operational expenses, expansion, and returns on the investment for the partners or shareholders.

Web Site and Computer maintenance

Since the site is what generates our business, it is only logical that it becomes a priority. We plan to allocate a fixed amount of money each month to the development and upgrades to our web site. This includes the cost to maintain the site on the World Wide Web, programs to run the server, and upgrade expenses. As our server came off the production line, it had already become outdated. That is why we will establish a fund to pay for those upgrades in the future once we turn a profit.

Advertising

Having a web site will mean nothing if nobody visits it. That is why advertising is the second most important area for our business. Once operational we are planning start-up costs to be around $1300.00 to $1500.00. This figure expected to increase as additional funds are made available from increased profits. We expect to be able to support between 15% and 25% of our profits on advertising.

Operational expenses

This area relates to fixed costs for running the business. Currently, we only expect to have business licenses and utilities as operational expenses. As we increase the size of the business, we also increase the costs to run it. Those items will also be included in this section.

Expansion

We are already planning for expansion. Our plan includes incorporating, increasing service area, opening a regional office, reinvesting in the company, etc. In order to meet these goals we must set aside funds for future needs. The goal is to allocate 20% or more for future expansion.

Initially, if any profits are left over, they will be given back to the partnership as salary for their time and investment. As the business grows, those salaries will be included as an operational expense and dividends may be given out to shareholders indicating a solid future.
